What does a fund-in-a-box include?

A credible fund-in-a-box should coordinate the structure, licensed fund management, legal documentation, investor onboarding, administration, accounting, reporting and audit workstreams. Nova brings these functions into one operating model, with each appointed party retaining its professional responsibilities.

The portfolio manager leads the investment strategy, fundraising relationships and portfolio work within the agreed mandate. Fund documents, governance arrangements and the licensed manager define which actions require review, approval or formal execution by another appointed party. The exact responsibility split is confirmed during structuring.

A fund may target launch in as little as four weeks when its strategy, economics, investor plan and required information are ready. Timing varies with due diligence, documentation, service-provider acceptance, investor onboarding and required approvals. First close may occur later than legal or operational launch.

Nova is designed for cross-border investor participation, subject to investor eligibility, distribution restrictions, tax considerations, KYC and AML checks, sanctions screening and approval for each relevant jurisdiction. Investor location should be mapped early so the offer and onboarding plan can be assessed before launch.

Making the Right Fund Decision

 When is Nova more suitable than a Multi-Asset SPV?

Nova is generally more suitable when LPs commit to a fund mandate, capital is drawn over time and the manager needs fund-level governance, reporting and a long-term operating model. A Multi-Asset SPV may be more proportionate for a smaller, closely aligned investor group backing a defined series of deals.

It can reduce the time and internal build required to establish a regulated operating model, while adding independent oversight and defined controls. The trade-off is that the GP does not have unrestricted structural control. Suitability depends on fund size, strategy, team, investor expectations and long-term licensing plans.

It becomes more relevant when the management business has sufficient scale, a permanent operating team, multiple products and a clear reason to own the regulated platform. There is no universal AUM threshold. Managers should compare total cost, time, governance, staffing and future product plans.

A transition may be possible, but it is a legal and operational project rather than a simple software migration. It can require provider changes, consents, document amendments, data transfer and regulatory review. Managers with a future independent-platform plan should discuss portability during initial structuring.
